1. Agreement to Terms
By accessing or using Reside Prime's services, including our website, mobile applications, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.
These terms constitute a legally binding agreement between you and Reside Prime regarding your use of the Services. You must be at least 18 years of age to use our Services.
Our platform facilitates both property rentals and property sales, connecting landlords, tenants, buyers, and sellers in a comprehensive real estate marketplace.
2. User Accounts
To access certain features of our Services, you must register for an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
- Not share your account credentials with others
- Notify us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these terms, provide false information, or engage in any activity that could harm the Services or other users.
You may not transfer or sell your account to another party. Each account is for a single user only.
3. Property Listings
3.1 For Property Owners, Landlords, and Sellers
When listing a property for rent or sale, you agree to:
- Provide accurate and current information about the property
- Include only authentic photographs and descriptions
- Maintain up-to-date availability status and pricing
- Comply with all applicable laws and regulations
- Respond to inquiries in a timely manner
- Honor the terms and conditions presented in your listings
- Not discriminate against potential tenants or buyers based on race, color, religion, national origin, sex, disability, familial status, or any other protected characteristic
- Ensure the property meets all health and safety requirements
- Obtain necessary permissions if you are not the property owner
- Disclose any material defects or issues with the property
- Provide accurate property dimensions, features, and amenities
- Maintain compliance with fair housing laws and regulations
3.2 For Tenants and Buyers
When using our Services to find properties for rent or purchase, you agree to:
- Provide accurate information in applications and inquiries
- Use the platform only for legitimate property inquiries
- Respect property viewing schedules and guidelines
- Communicate professionally with property owners and agents
- Not misrepresent your identity, intentions, or financial capacity
- Comply with all terms and conditions of any rental or purchase agreement you enter into
- Respect the privacy and property of owners during viewings
- Provide requested documentation in a timely manner
- Conduct due diligence on properties of interest
- Respect the terms of any confidentiality agreements
3.3 For Real Estate Agents and Brokers
If you are a licensed real estate professional, you additionally agree to:
- Maintain valid and current professional licenses
- Comply with all applicable real estate laws and regulations
- Disclose your professional status and license information
- Follow ethical guidelines and professional standards
- Maintain proper documentation for all transactions
4. Prohibited Activities
Users are prohibited from:
- Posting false, misleading, or fraudulent content
- Harassing or discriminating against other users
- Circumventing our platform's payment system
- Scraping or copying content without permission
- Using the platform for any illegal purposes
- Attempting to manipulate our search algorithms
- Posting content that infringes on intellectual property rights
- Introducing viruses, malware, or other harmful code
- Attempting to gain unauthorized access to other user accounts or our systems
- Using the Services to promote other businesses without permission
- Creating multiple accounts for deceptive purposes
- Engaging in any activity that interferes with the proper functioning of the Services
- Posting properties that do not exist or are not available
- Engaging in price manipulation or artificial inflation
- Using automated tools to access or interact with the platform
5. Fees and Payments
Users agree to:
- Pay all applicable fees for using our Services
- Provide valid payment information
- Accept our refund and cancellation policies
- Pay any applicable taxes
- Not engage in any fraudulent payment activities
- Maintain sufficient funds for scheduled payments
All fees are non-refundable unless otherwise specified. Fees may be modified with notice to users. Continued use of the Services after fee changes constitutes acceptance of the new fees.
5.1 Property Owner Fees
Property owners, landlords, and sellers may be charged fees for listing properties, premium placement, featured listings, or other enhanced services. These fees will be clearly communicated before they are incurred.
5.2 Tenant and Buyer Fees
Tenants and buyers may be charged fees for application processing, background checks, credit reports, or premium search features. These fees will be clearly communicated before they are incurred.
5.3 Agent and Broker Fees
Real estate professionals may be charged fees for enhanced listings, lead generation, or professional tools. These fees will be clearly communicated before they are incurred.
6. Privacy and Data Protection
We collect and process personal data as described in our Privacy Policy. By using our Services, you consent to our data practices.
You acknowledge that certain information you provide may be shared with other users as necessary for the functioning of the Services (e.g., property owners can view tenant applications, buyers can view property details).
We implement appropriate security measures to protect your personal information, but no method of transmission over the internet is 100% secure.
7. Intellectual Property
All content on our platform, including but not limited to text, graphics, logos, and software, is our property or the property of our licensors and is protected by copyright and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our written consent.
7.1 User Content
By posting content on our platform (including property listings, reviews, and messages), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.
You represent and warrant that you own or control all rights to the content you post and that such content does not infringe upon the rights of any third party.
7.2 Property Images and Media
You retain ownership of property images and media you upload, but grant us license to use them for platform purposes. You must have the right to use and share any images or media you upload.
8. Limitation of Liability
Reside Prime is not liable for:
- Accuracy of property listings or user information
- Disputes between property owners and tenants/buyers
- Loss or damage resulting from using our Services
- Technical issues or service interruptions
- The actions or omissions of other users
- Any direct, indirect, incidental, special, consequential, or punitive damages
- Any losses related to rental or purchase transactions conducted through or as a result of the Services
- Property condition or suitability for intended use
- Financial losses from failed transactions
- Legal disputes between parties
Our liability is limited to the maximum extent permitted by law. In no event shall our total liability exceed the amount paid by you, if any, for accessing our Services in the six months preceding the claim.
9. Termination
We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our discretion. Users may terminate their accounts at any time.
Upon termination:
- Your right to use the Services will immediately cease
- We may delete or retain your data according to our Privacy Policy
- Any fees paid are non-refundable unless required by law
- All provisions of these Terms which by their nature should survive termination shall survive
- Active listings may be removed or deactivated
10. Changes to Terms
We may modify these terms at any time. Continued use of our Services after changes constitutes acceptance of the modified terms.
We will make reasonable efforts to notify users of significant changes through email or notices on our platform. It is your responsibility to review these terms periodically.
11. Dispute Resolution
Any disputes arising from these Terms or your use of the Services shall be resolved through:
- Informal negotiation – You agree to first contact us to attempt to resolve any disputes
- Mediation – If negotiation is unsuccessful, the dispute may be submitted to mediation
- Arbitration – If mediation is unsuccessful, the dispute shall be settled by binding arbitration
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
For disputes between users (e.g., landlords and tenants, buyers and sellers), we encourage direct communication and may provide mediation services at our discretion.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of law provisions.
Any legal proceedings shall be brought in the courts of competent jurisdiction.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and Reside Prime regarding the use of our Services, superseding any prior agreements.
No oral modifications or additional terms shall be binding unless agreed to in writing by both parties.
